Release of an ad hoc announcement pursuant to Art. 53 LR
The issuer is solely responsible for the content of this announcement.

The Burkhalter Group wrapped up the first half of 2024 with encouraging results and boosted earnings per share substantially, with these ending the period up 7.4% over the first half of 2023. The outlook for 2024 as a whole remains confident. The Board of Arbitration of SIX Group AG dismissed the appeal filed by Burkhalter Holding Ltd against a decision of the Sanction Commission of SIX Group AG. Burkhalter Holding Ltd accepts the decision of the Board of Arbitration, which had imposed a fine of CHF 150,000 on Burkhalter Holding Ltd as the legal successor of poenina holding ag due to a violation of ad hoc publicity regulations committed by poenina holding ag. This decision will have no appreciable impact on the financial results of the Burkhalter Group.

On 30 June 2024, the Burkhalter Group closed the first half of 2024 as follows: Earnings per share amounted to CHF 2.19 (previous year CHF 2.04 (+ 7.4%), Group profit stands at CHF 23.3 million (previous year CHF 21.2 million), the operating result (EBIT) came to CHF 28.2 million (previous year CHF 26.0 million) and sales amounted to CHF 567.6 million (previous year CHF 526.2 million). The good figures are still attributable to sustained high demand for building technology services.

Decision of the Board of Arbitration of SIX Group AG accepted
In its decision from 31 March 2023, the Sanction Commission of SIX Group AG stated that poenina holding ag had deliberately violated the regulations on ad hoc publicity by classifying the criminal conviction of its Delegate of the Board of Directors at the time as irrelevant to the share price and had published this information belatedly as a result. The Sanction Commission imposed a fine of CHF 150,000 on Burkhalter Holding Ltd as the legal successor of poenina holding ag. Burkhalter Holding Ltd filed an appeal against the decision with the Board of Arbitration of SIX Group AG on 14 June 2023. Among other things, Burkhalter Holding Ltd wanted to clarify whether it, as the legal successor of poenina holding ag, was required to take responsibility for poenina holding ag’s violation of the listing rules. It also questioned the appropriateness of the fine’s amount. The appeal was dismissed by the Board of Arbitration of SIX Group AG. Burkhalter Holding Ltd, which became the legal successor of poenina holding ag following their merger at the end of June 2022, accepts the decision of the Board of Arbitration of SIX Group AG. This decision will have no appreciable impact on the financial results of the Burkhalter Group.

Continued growth
Burkhalter Holding Ltd acquired two companies during the reporting period: meinrad buchli gmbh in Flims and its branch office in Safien (GR) on 18 January 2024 as well as Elektro Bernina AG in Madulain (GR) and its branch office in Pontresina (GR) on 29 April 2024. Heating, plumbing and solar technology specialist Kippel Leo + Söhne AG in Susten (VS) was then added on 1 July 2024 and the electrical engineering company of Elektro R. Räss AG in Oberentfelden (AG) joined the Group on 12 August 2024. Achieving acquisition-related growth via the targeted purchase of other Swiss building technology companies continues to be a part of Burkhalter’s strategy.

Service organisations merged
The service organisations of Burkhalter Management Ltd (Electrical Engineering) and Burkhalter Services Ltd (HVACP) have been joined under the name of Burkhalter Services Ltd since they relocated to the new location at Flurstrasse 55 in Zürich-Altstetten in mid-2024. Since then, the new company has been providing support to all Burkhalter Group companies and Burkhalter Holding Ltd.

Confident outlook
At the current date, the management assumes that a moderate increase in earnings per share compared with the previous year can be achieved in the 2024 financial year. This is largely dependent on sustained strong demand for building technology services and rising demand for energy-efficient buildings. Burkhalter is ideally positioned to make a significant contribution to achieving the goals of the Swiss Federal Government’s Energy Strategy 2050.

Thanks to our employees
The Board of Directors and management would like to thank the employees, who demonstrate such commitment to the company’s sustainable success.
